Términos de servicio del programa de afiliados de Piaget LMS

Acuerdo

Al registrarse como Afiliado en el Programa de Afiliados de Piaget LMS («Programa»), acepta estar sujeto a los siguientes términos y condiciones («Términos de Servicio»).

Piaget LMS se reserva el derecho de actualizar y modificar las Condiciones de Servicio de vez en cuando sin previo aviso. Cualquier nueva característica que aumente o mejore el Programa actual, incluido el lanzamiento de nuevas herramientas y recursos, estará sujeta a los Términos de servicio. El uso continuado del Programa después de dichos cambios constituirá su consentimiento a dichos cambios.

La violación de cualquiera de los términos a continuación resultará en la terminación de su Cuenta y en la pérdida de cualquier pago pendiente de comisiones de afiliado ganado durante la violación. Usted acepta utilizar el Programa de Afiliados bajo su propio riesgo.

Términos de la cuenta

1. Debe tener 18 años o más para formar parte de este Programa.
2. Debe vivir en los Estados Unidos para ser un Afiliado.
3. Debes ser un ser humano. Las cuentas registradas por «bots» u otros métodos automatizados no están permitidas.
4. Debe proporcionar su nombre completo legal, una dirección de correo electrónico válida y cualquier otra información solicitada para completar el proceso de registro.
5. Su inicio de sesión solo puede ser utilizado por una persona: no se permite un solo inicio de sesión compartido por varias personas.
6. Usted es responsable de mantener la seguridad de su cuenta y contraseña. Piaget LMS no puede ser y no será responsable de ninguna pérdida o daño derivado del incumplimiento de esta obligación de seguridad.
7. Usted es responsable de todo el Contenido publicado y de la actividad que se produzca en su cuenta.
8. Una persona física o jurídica no puede mantener más de una cuenta.
9. No puede utilizar el Programa de Afiliados para ningún propósito ilegal o no autorizado. No debe, en el uso del Servicio, violar ninguna ley en su jurisdicción (incluidas, entre otras, las leyes de derechos de autor).
10. No puede utilizar el Programa de Afiliados para ganar dinero en sus propias cuentas de productos Piaget LMS.

Enlaces/gráficos en su sitio, en sus correos electrónicos u otras comunicaciones

Una vez que se haya registrado en el Programa de Afiliados, se le asignará un código de afiliado único. Se le permite colocar enlaces, banners u otros gráficos que proporcionamos con su código de afiliado en su sitio, en sus correos electrónicos o en otras comunicaciones. Le proporcionaremos directrices, estilos de enlaces y material gráfico para utilizar en los enlaces a Piaget LMS. Podemos cambiar el diseño de la obra de arte en cualquier momento sin previo aviso, pero no cambiaremos las dimensiones de las imágenes sin previo aviso.

Para permitir un seguimiento preciso, informes y acumulación de tarifas de referencia, le proporcionaremos formatos de enlace especiales para utilizar en todos los enlaces entre su sitio y el LMS Piaget. Debe asegurarse de que cada uno de los enlaces entre su sitio y el LMS de Piaget utilice correctamente estos formatos de enlace especiales. Los enlaces al LMS de Piaget colocados en su sitio web de conformidad con este Acuerdo y que utilizan correctamente dichos formatos de enlace especiales se denominan «Enlaces Especiales». Usted ganará tarifas de referencia solo con respecto a las ventas de un  producto Piaget LMS que se realicen directamente a través de Enlaces Especiales; no seremos responsables ante usted con respecto a cualquier falla por su parte o por parte de alguien a quien usted recomiende para usar Enlaces Especiales o escribir incorrectamente su Código de Afiliado, incluso en la medida en que dicha falla pueda resultar en una reducción de los montos que de otro modo se le pagarían de conformidad con este Acuerdo.

Los enlaces de afiliados deben apuntar a la página del producto que se promociona.

Tarifas/comisiones de referencia y pago

Para que la venta de un producto sea elegible para ganar una tarifa de referencia, el cliente debe hacer clic en un enlace especial de su sitio, correo electrónico u otras comunicaciones para https://piagetlms.com y completar un pedido de un producto durante esa sesión.

Solo pagaremos comisiones por los enlaces que sean rastreados e informados automáticamente por nuestros sistemas. No pagaremos comisiones si alguien dice que compró o alguien dice que ingresó un código de referencia si nuestro sistema no lo rastreó. Solo podemos pagar comisiones sobre negocios generados a través de enlaces especiales con el formato adecuado que fueron rastreados automáticamente por nuestros sistemas.

Nos reservamos el derecho de descalificar las comisiones obtenidas a través de métodos de ventas o marketing fraudulentos, ilegales o demasiado agresivos y cuestionables.

Los pagos solo comienzan una vez que haya ganado más de $ 100 en ingresos de afiliados. Si su cuenta de afiliado nunca cruza el umbral de $ 100 , sus comisiones no se realizarán ni se pagarán. Solo somos responsables de pagar a las cuentas que hayan cruzado el umbral de $100 .

Identificarse como Afiliado de Piaget LMS

No puede emitir ningún comunicado de prensa con respecto a este Acuerdo o su participación en el Programa; dicha acción puede resultar en su terminación del Programa. Además, no puede de ninguna manera tergiversar o embellecer la relación entre nosotros y usted, decir que desarrolla nuestros productos, decir que es parte de Piaget LMS o expresar o insinuar cualquier relación o afiliación entre nosotros y usted o cualquier otra persona o entidad, excepto según lo expresamente permitido por este Acuerdo (incluso expresando o implicando que apoyamos,  patrocinar, respaldar o contribuir con dinero a cualquier organización benéfica u otra causa).

No puede comprar productos a través de sus enlaces de afiliado para su propio uso. Dichas compras pueden resultar (a nuestra entera discreción) en la retención de las tarifas de referencia y/o la terminación de este Acuerdo.

Multivencimiento

Siempre que sus ganancias actuales de afiliado sean superiores a $ 100, se le pagará cada mes. Si no has ganado $100 desde tu último pago, te pagaremos el mes siguiente después de que hayas cruzado el umbral.

Definición de cliente

Los clientes que compren productos a través de este Programa se considerarán nuestros clientes. En consecuencia, todas nuestras reglas, políticas y procedimientos operativos relacionados con los pedidos de los clientes, el servicio al cliente y las ventas de productos se aplicarán a esos clientes. Podemos cambiar nuestras políticas y procedimientos operativos en cualquier momento. Por ejemplo, determinaremos los precios que se cobrarán por los productos vendidos en el marco de este Programa de acuerdo con nuestras propias políticas de precios. Los precios y la disponibilidad de los productos pueden variar de vez en cuando. Debido a que los cambios de precio pueden afectar a los Productos que ha publicado en su sitio, no debe mostrar los precios de los productos en su sitio. Haremos todos los esfuerzos comercialmente razonables para presentar información precisa, pero no podemos garantizar la disponibilidad o el precio de ningún producto en particular.

Sus responsabilidades

Usted será el único responsable del desarrollo, operación y mantenimiento de su sitio y de todos los materiales que aparezcan en su sitio. Por ejemplo, usted será el único responsable de:

– El funcionamiento técnico de su sitio y todo el equipo relacionado- Garantizar que la visualización de Enlaces Especiales en su sitio no viole ningún acuerdo entre usted y un tercero (incluidas, entre otras, las restricciones o requisitos que le imponga un tercero que aloje su sitio)- La exactitud, veracidad y pertinencia de los materiales publicados en su sitio (incluidos,  entre otras cosas, todos los materiales relacionados con el Producto y cualquier información que incluya o asocie con Enlaces Especiales)- Garantizar que los materiales publicados en su sitio no violen ni infrinjan los derechos de terceros (incluidos, por ejemplo, derechos de autor, marcas comerciales, privacidad u otros derechos personales o de propiedad)- Garantizar que los materiales publicados en su sitio no sean difamatorios o ilegales de otro modo- Garantizar que su sitio divulgue de manera precisa y adecuada,  ya sea a través de una política de privacidad o de otro modo, cómo recopila, usa, almacena y divulga los datos recopilados de los visitantes, incluido, cuando corresponda, que terceros (incluidos los anunciantes) pueden publicar contenido y / o anuncios y recopilar información directamente de los visitantes y pueden colocar o reconocer cookies en los navegadores de los visitantes.

Cumplimiento de las leyes

Como condición para su participación en el Programa, usted acepta que, mientras sea participante del Programa, cumplirá con todas las leyes, ordenanzas, reglas, reglamentos, órdenes, licencias, permisos, juicios, decisiones u otros requisitos de cualquier autoridad gubernamental que tenga jurisdicción sobre usted, ya sea que esas leyes, etc. estén ahora en vigor o entren en vigor más adelante durante el tiempo que sea participante del Programa. Vigencia del Acuerdo y Programa

Tanto usted como nosotros podemos rescindir este Acuerdo en cualquier momento, con o sin causa, notificando a la otra parte por escrito de la terminación. Tras la rescisión de este Acuerdo por cualquier motivo, usted cesará inmediatamente el uso y eliminará de su sitio todos los enlaces a https://piagetlms.com, y todas nuestras marcas comerciales, imagen comercial y logotipos, y todos los demás materiales proporcionados por nosotros o en nuestro nombre de conformidad con el presente o en relación con el Programa. Piaget LMS se reserva el derecho de finalizar el Programa en cualquier momento. Al finalizar el programa, Piaget LMS pagará las ganancias pendientes acumuladas por encima de $100.

Terminación

Piaget LMS, a su entera discreción, tiene el derecho de suspender o cancelar su cuenta y rechazar cualquier uso actual o futuro del Programa, o de cualquier otro  servicio Piaget LMS, por cualquier motivo y en cualquier momento. Dicha terminación del Servicio resultará en la desactivación o eliminación de su Cuenta o su acceso a su Cuenta, y la pérdida y renuncia a todas las comisiones potenciales o por pagar en su Cuenta si se obtuvieron a través de métodos de ventas o marketing fraudulentos, ilegales o demasiado agresivos y cuestionables. Piaget LMS se reserva el derecho de denegar el servicio a cualquier persona por cualquier motivo y en cualquier momento.

Relación de las partes

Usted y nosotros somos contratistas independientes, y nada en este Acuerdo creará ninguna sociedad, empresa conjunta, agencia, franquicia, representante de ventas o relación laboral entre las partes. Usted no tendrá autoridad para hacer o aceptar ninguna oferta o representación en nuestro nombre. No hará ninguna declaración, ya sea en su sitio o de otro modo, que razonablemente contradiga algo en esta Sección.

Limitaciones de responsabilidad

No seremos responsables de los daños indirectos, especiales o consecuentes (ni de ninguna pérdida de ingresos, beneficios o datos) que surjan en relación con este Acuerdo o el Programa, incluso si se nos ha advertido de la posibilidad de dichos daños. Además, nuestra responsabilidad total que surja con respecto a este Acuerdo y el Programa no excederá el total de las tarifas de referencia pagadas o pagaderas a usted en virtud de este Acuerdo.

Renuncias

No ofrecemos garantías o representaciones expresas o implícitas con respecto al Programa o cualquier producto vendido a través del Programa (incluidas, entre otras, las garantías de idoneidad, comerciabilidad, no infracción o cualquier garantía implícita que surja de un curso de rendimiento, negociación o uso comercial). Además, no garantizamos que el funcionamiento del LMS de Piaget sea ininterrumpido o esté libre de errores, y no seremos responsables de las consecuencias de cualquier interrupción o error.

Investigación independiente

USTED RECONOCE QUE HA LEÍDO ESTE ACUERDO Y ACEPTA TODOS SUS TÉRMINOS Y CONDICIONES. USTED ENTIENDE QUE PODEMOS EN CUALQUIER MOMENTO (DIRECTA O INDIRECTAMENTE) SOLICITAR REFERENCIAS DE CLIENTES EN TÉRMINOS QUE PUEDEN DIFERIR DE LOS CONTENIDOS EN ESTE ACUERDO U OPERAR SITIOS WEB QUE SEAN SIMILARES O COMPITAN CON SU SITIO WEB. USTED HA EVALUADO DE FORMA INDEPENDIENTE LA CONVENIENCIA DE PARTICIPAR EN EL PROGRAMA Y NO CONFÍA EN NINGUNA REPRESENTACIÓN, GARANTÍA O DECLARACIÓN QUE NO SEA LA ESTABLECIDA EN ESTE ACUERDO.

Arbitraje

Cualquier disputa relacionada de alguna manera con este Acuerdo (incluido cualquier incumplimiento real o presunto del mismo), cualquier transacción o actividad en virtud de este Acuerdo o su relación con nosotros o cualquiera de nuestros afiliados se someterá a arbitraje confidencial, excepto que, en la medida en que haya violado o amenazado con violar de alguna manera nuestros derechos de propiedad intelectual,  Podemos solicitar medidas cautelares u otras medidas apropiadas en cualquier tribunal estatal o federal (y usted acepta la jurisdicción y competencia no exclusivas de dichos tribunales) o cualquier otro tribunal de jurisdicción competente. El arbitraje en virtud de este acuerdo se llevará a cabo bajo las reglas vigentes en ese momento de la Asociación Americana de Arbitraje. El laudo del árbitro será vinculante y podrá presentarse como sentencia en cualquier tribunal de jurisdicción competente. Misceláneo

Este Acuerdo se regirá por las leyes de los Estados Unidos, sin referencia a las reglas que rigen la elección de leyes. No puede ceder este Acuerdo, por aplicación de la ley o de otro modo, sin nuestro consentimiento previo por escrito. Sujeto a esa restricción, este Acuerdo será vinculante, redundará en beneficio de las partes y será exigible contra las partes y sus respectivos sucesores y cesionarios. El hecho de que no hagamos cumplir estrictamente cualquier disposición de este Acuerdo no constituirá una renuncia a nuestro derecho a hacer cumplir posteriormente dicha disposición o cualquier otra disposición de este Acuerdo.

El hecho de que Piaget LMS no  ejerza o haga valer cualquier derecho o disposición de las Condiciones de Servicio no constituirá una renuncia a dicho derecho o disposición. Las Condiciones de Servicio constituyen el acuerdo íntegro entre usted y Piaget LMS y rigen el uso que usted haga del Servicio, sustituyendo a cualquier acuerdo previo entre usted y Piaget LMS (incluidas, entre otras, las versiones anteriores de las Condiciones de Servicio).

Agreement

By signing up to be an Affiliate in the Piaget LMS Affiliate Program («Program») you are agreeing to be bound by the following terms and conditions («Terms of Service»).

Piaget LMS reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Program, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Program after any such changes shall constitute your consent to such changes.

Violation of any of the terms below will result in the termination of your Account and for forfeiture of any outstanding affiliate commission payments earned during the violation. You agree to use the Affiliate Program at your own risk.

Account Terms

• You must be 18 years or older to be part of this Program.
• You must live in the United States to be an Affiliate.
• You must be a human. Accounts registered by «bots» or other automated methods are not permitted.
• You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
• Your login may only be used by one person – a single login shared by multiple people is not permitted.
• You are responsible for maintaining the security of your account and password. Piaget LMS cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all Content posted and activity that occurs under your account.
• One person or legal entity may not maintain more than one account.
• You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
• You may not use the Affiliate Program to earn money on your own Piaget LMS product accounts.

Links/graphics on your site, in your emails, or other communications

Once you have signed up for the Affiliate Program, you will be assigned a unique Affiliate Code. You are permitted to place links, banners, or other graphics we provide with your Affiliate Code on your site, in your emails, or in other communications. We will provide you with guidelines, link styles, and graphical artwork to use in linking to Piaget LMS. We may change the design of the artwork at any time without notice, but we won’t change the dimensions of the images without proper notice.

To permit accurate tracking, reporting, and referral fee accrual, we will provide you with special link formats to be used in all links between your site and the Piaget LMS. You must ensure that each of the links between your site and the Piaget LMS properly utilizes such special link formats. Links to the Piaget LMS placed on your site pursuant to this Agreement and which properly utilize such special link formats are referred to as «Special Links.» You will earn referral fees only with respect to sales on a Piaget LMS product occurring directly through Special Links; we will not be liable to you with respect to any failure by you or someone you refer to use Special Links or incorrectly type your Affiliate Code, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to this Agreement.

Affiliate links should point to the page of the product being promoted.

Referral fees/commissions and payment

For a Product sale to be eligible to earn a referral fee, the customer must click-through a Special Link from your site, email, or other communications to https://piagetlms.com and complete an order for a product during that session.

We will only pay commissions on links that are automatically tracked and reported by our systems. We will not pay commissions if someone says they purchased or someone says they entered a referral code if it was not tracked by our system. We can only pay commissions on business generated through properly formatted special links that were automatically tracked by our systems.

We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

Payments only begin once you’ve earned more than $100 in affiliate income. If your affiliate account never crosses the $100 threshold, your commissions will not be realized or paid. We are only responsible for paying accounts that have crossed the $100 threshold.

Identifying yourself as a Piaget LMS Affiliate

You may not issue any press release with respect to this Agreement or your participation in the Program; such action may result in your termination from the Program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, say you develop our products, say you are part of Piaget LMS or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that we support, sponsor, endorse, or contribute money to any charity or other cause).

You may not purchase products through your affiliate links for your own use. Such purchases may result (in our sole discretion) in the withholding of referral fees and/or the termination of this Agreement.

Payment schedule

As long as your current affiliate earning are over $100, you’ll be paid each month. If you haven’t earned $100 since your last payment, we’ll pay you the following month after you’ve crossed the threshold.

Customer definition

Customers who buy products through this Program will be deemed to be our customers. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold under this Program in accordance with our own pricing policies. Product prices and availability may vary from time to time. Because price changes may affect Products that you have listed on your site, you should not display product prices on your site. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.

Your responsibilities

You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for:

– The technical operation of your site and all related equipment
– Ensuring the display of Special Links on your site does not violate any agreement between you and any third party (including without limitation any restrictions or requirements placed on you by a third party that hosts your site)
– The accuracy, truth, and appropriateness of materials posted on your site (including, among other things, all Product-related materials and any information you include within or associate with Special Links)
– Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
– Ensuring that materials posted on your site are not libelous or otherwise illegal
– Ensuring that your site accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors’ browsers.

Compliance with Laws

As a condition to your participation in the Program, you agree that while you are a Program participant you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a Program participant. Without limiting the foregoing obligation, you agree that as a condition of your participation in the Program you will comply with all applicable laws (federal, state or otherwise) that govern marketing email, including without limitation, the CAN-SPAM Act of 2003 and all other anti-spam laws.

Term of the Agreement and Program

The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to https://piagetlms.com, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Program. Piaget LMS reserves the right to end the Program at any time. Upon program termination, Piaget LMS will pay any outstanding earnings accrued above $20.

Termination

Piaget LMS, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Program, or any other Piaget LMS service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all potential or to-be-paid commissions in your Account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. Piaget LMS reserves the right to refuse service to anyone for any reason at any time.

Relationship of Parties

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

Limitations of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

Disclaimers

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of the Piaget LMS will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Independent Investigation

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

Arbitration

Any dispute relating in any way to this Agreement (including any actual or alleged breach hereof), any transactions or activities under this Agreement or your relationship with us or any of our affiliates shall be submitted to confidential arbitration, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court (and you consent to non-exclusive jurisdiction and venue in such courts) or any other court of competent jurisdiction. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

Miscellaneous

This Agreement will be governed by the laws of The United States, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

The failure of Piaget LMS to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Piaget LMS and govern your use of the Service, superceding any prior agreements between you and Piaget LMS (including, but not limited to, any prior versions of the Terms of Service).
